A Delaware Statutory Trust (DST) is a legal entity that allows multiple investors to own fractional shares in large, income-producing real estate properties such as apartment complexes, medical buildings, shopping centers and many others.



DSTs are commonly used in 1031 exchanges because they qualify as “like-kind” property. This means you can sell your investment property, defer capital gains taxes, and reinvest into a DST without managing the property yourself.

DSTs are only available for accredited investors and are ideal for those wanting to defer taxes, have passive ownership, and generate potential income without the headaches of being a landlord.

An investor sells an apartment building for $1.8 million that was purchased for $1 million. Rather than paying capital gains taxes on the $800,000 gain, the investor completes a 1031 exchange. The sale proceeds move to a qualified intermediary, then into one or more Delaware Statutory Trust offerings. Each DST holds professionally managed real estate, and the investor receives a fractional ownership interest. The exchange defers taxes and replaces active property management with passive ownership and income potential.
The process follows a clear sequence.
The investor lists and sells the relinquished property. Sale proceeds move directly to a qualified intermediary, not to the investor. Within IRS timelines, the investor identifies one or more DST offerings as replacement property. Exchange funds are allocated into selected DST interests. The exchange closes, tax deferral occurs, and the investor holds a passive interest in professionally managed real estate.
A 1031 exchange is an IRS approved strategy allowing real estate investors to defer capital gains taxes by reinvesting proceeds from the sale of an investment property into another qualifying investment property. The investor sells the original property, places proceeds with a qualified intermediary, and reinvests those funds within strict IRS timelines. Taxes defer as long as the investor follows exchange rules and reinvests into like kind real estate rather than taking cash.
A 721 exchange, often called an UPREIT transaction, allows a real estate investor to contribute property or a DST interest into a real estate investment trust in exchange for operating partnership units rather than cash. The transaction defers capital gains taxes and converts direct real estate ownership into a liquid, professionally managed REIT interest. Investors often use a 721 to transition from property ownership into a diversified REIT structure as part of long term estate or liquidity planning.
Opportunity Zone investments are a part of a government initiative aimed at spurring economic development and revitalization in economically distressed areas across the United States. These areas, designated as Opportunity Zones, are typically characterized by lower income levels and limited access to capital.
